Padtech AS is committed to the highest level of integrity and ethics in our dealings with each other, our stockholders, our customers, our suppliers, and the public, and to any agencies that we deal with.
All of our employees are responsible for following Company policies concerning business practices and ethics. These Guidelines are a reminder of Company policies applicable to the conduct of all of our employees. Violations of Guidelines and other Company policies may result in disciplinary action, including dismissal. All of our employees commit themselves to being accountable for our actions.
These Guidelines establish principles and standards of behavior that apply throughout our operations. Compliance with these Guidelines and other Company policies are a condition of employment of all of our employees. None of the Guidelines of any Company policy create any contract or promise of continued employment with the Company.
Enforcement of these procedures is the responsibility of all of our employees, and these Guidelines apply to directors, officers, employees, agents, board members and consultants.

COMMUNITY RESPONSIBILITY
Every employee is required to comply with all applicable laws, rules, and regulations of the local community and any laws of this country or any other country where we conduct business. We are committed to maintaining and operating our business in full compliance with all environmental laws, regulations, and practices and procedures.
We recognize the need to protect the environment and the important use of our resources in the community. Employees are encouraged to follow procedures that will minimize or eliminate waste and reduce energy consumption and conserve natural resources of the community.
CONFLICTS OF INTEREST
All of our employees have a responsibility to act in the best interests of the Company and must take any measures necessary to avoid any situations in which their personal interests may come into conflict with their loyalty to Padtech AS.
Employees understand that they are not to use their positions, company assets, or confidential information gained in their service to the Company for personal gain or for the benefit of a family member or any outside party. In addition, outside activities or service must not interfere with their job with the Company.
It is the Company policy also that no director, officer, employee, agent, or consultant may engage in any activity that creates an actual conflict of interest or the appearance of a conflict of interest.
All employees and officers and directors understand that they are not to own any interest in any competitor or own any interest in any private venture that is a customer or supplier.
Employees and officers and directors understand that they are not to receive any gifts or favors of any type that may tend to influence their business decisions or compromise their judgment. Employees understand that they are not to use confidential information attained during their services for personal gain. Employees understand that they are not to receive any property for their position or affiliation with the Company, nor are they to receive any other personal benefits as a result of their positions.
All employees, officers, and directors understand that they are not to participate in any activity that materially detracts or interferes with their time and performance of services to the Company or create conflicts of interest with the interests of the Company.
All employees, officers, and directors are expected to exercise honesty, high ethical standards, and good judgment at all times.
RELATIONSHIPS WITH CUSTOMERS, SUPPLIERS,
AND THE COMPETITION
All employees, officers, and directors understand that when interacting with customers, suppliers, and competition, each employee should act with integrity and honesty and avoid taking any unfair advantage through concealment, abuse of privileged information, misrepresentation of material facts, or any other practice that involves unfair dealing. Any fraud, theft, embezzlement, false expense reports, or obtaining business by kickbacks, or anything similar to that, are examples of unauthorized and illegal business contact that is prohibited. No employee under any circumstances is to participate in any activities that are corrupt or illegal in any sense.
Employees are barred from receiving gifts from customers , or any other business contacts, with Padtech.
An exception to this would be gifts of value less than $100 or items that would not be considered to having any substantial value. A gift under no circumstances should be monetary in any amount.
This prohibition does not cover events of a normal business nature, including dinners, meals, and events of a standard business nature.
Employees are not to do anything to create any personal advantage with respect to relationships with customers and authorities by giving gifts.
RELATION TO CO-WORKERS
The Company and any co-workers will not unlawfully discriminate against any employee or applicant for employment on the basis of race, religion, creed, color, national origin, age, sex, sexual orientation, marital status, veteran status, or a disability.
Employees are expected to conduct their activities with one another with mutual respect and dignity. Therefore, any harassment based on any categories such as age, religion, national origin, marital status, sex, race, creed, color, or sexual orientation in the workplace is prohibited.
Each employee is expected to respect the privacy of others and the Company must respect the privacy of each employee within appropriate boundaries.
SAFETY AND HEALTH
The safety of employees and customers is one of the company’s highest concerns. The Company is committed to providing each employee with a safe and healthy work environment, and each employee is responsible for maintaining a safe and healthy workplace by following safety and health rules and reporting any unsafe conditions encountered.
Employees are not to work under the influence of alcohol or drugs, and the company expressly prohibits the use, possession, distribution, or manufacturing of any illegal drug or controlled substance at any company office or company vehicles or at any time while performing any work for the Company.
GENERAL BUSINESS CONDUCT AND PRACTICES
As an employee, each employee, officer, or director has the responsibility to maintain and protect Company equipment and supplies. All employees, directors, and officers are responsible for the proper use of Company property.
ACCESS TO CONFIDENTIAL COMPANY INFORMATION
Access to confidential company information carries with it the responsibility to prevent that information from reaching any unauthorized individuals.
Each employee has a responsibility to guard against this by limiting discussion of confidential information to appropriate times and places and refraining from improper disclosure of company confidential information in any form.

All employees and officers and directors are committed to retaining and destroying records according to Company policies.
Accurate and reliable records are of critical importance to the Company’s ongoing operations. Each employee is responsible to accurately and honestly maintain Company records under his or her care.
PUBLIC AND MEDIA RELATIONS
Employees, officers, and directors should not contact any public or media person to speak on behalf of the Company unless expressly authorized by the Company or one of the departments charged with managing this type of relationship.
POLITICAL ACTIVITIES
Corporate political contributions are deemed to be improper at Padtech AS. Company funds and assets may not be used to support any political party or candidate for office or nomination for election to public office. Employees may not use Company funds, facilities, or services to solicit political contributions or for any political purposes.
MAINTAINING QUALITY OF PADTECH AS PRODUCTS AND
TECHNICAL INFORMATION
Maintaining the Company’s reputation for quality, integrity, and customer responsiveness is critical to our corporate goals. Each employee is responsible for compliance with all standards and procedures. All employees, officers, and directors are responsible for quality control standards.
ZERO TOLERANCE POLICIES
The Company has a zero tolerance for discrimination or harassment. As indicated previously in this Code of Ethics and Conduct, the company is an equal opportunity employer and strictly enforces its policy prohibiting discrimination of any sort. The Company expressly prohibits any form of harassment in the workplace based on gender, sex, race, color, age, religion, national origin, or for any other unlawful reason.
INTERPRETATION OF THIS CODE
All employees are encouraged to seek the advice of appropriate senior management in the matters of corporate policy and to consult with their superiors and executives in the event that there is any doubt about those guidelines pertaining to proper, ethical, moral, and legal conduct in the Company.
